Policy Statement

When an IA and/or IAR Registration
Application is Deemed Filed with the Division

The Massachusetts Securities Division (the “Division”) hereby provides notice that for purposes of M.G.L. c.110A, §202(a), an application for registration as an investment adviser and/or investment adviser representative is deemed “filed” with the Division when:  (1) all of the forms and fees required by 950 CMR 12.205(2) (including, if necessary, the affidavit(s) described in subsection 12.205(2)(a)2 with accompanying Form(s) U-4 ); (2) notice of meeting the certification or examination requirement of 950 CMR 12.205(4); and (3) evidence of meeting the minimum financial requirements of 950 CMR 12.205(5), if any, have been received by the Division either directly or via the Investment Adviser Registration Depository (IARD) and/or the Central Registration Depository (CRD).
